   Средний транспортный вертолет Ми-38 разработан ОКБ им. М.Л. Миля совместно с Казанским вертолетным заводом и фирмой "Евромиль" (интеграция БРЭО выполнялась совместно с "Eurocopter"). Первый полет Ми-38 выполнил 22 декабря 2003 года. Вертолет предназначен для военного и гражданского применения. Базовый вариант Ми-38 планировалось оснащать двумя ТВаД Pratt & Whitney Canada PW127TS, но ограничения, наложенные руководством США на поставку двигателей "двойного назначения", привели в 2009 году к выходу компании P&W из программы. Альтернативой Pratt & Whitney Canada является ТВаД ТВ7-117В/ВМ, который, видимо, и будет штатным для вертолета.
Ми-38 - последний вертолет, разработанный в Советском Союзе и вышедший на летные испытания уже в наши дни.
На Ми-38 использован ряд систем, разработанных для вертолета Ми-28, в частности винты и редукторы. К 2012 году построено два прототипа Ми-38, отличающиеся силовой установкой.
Вертолет RA-38011 демонстрировался на МАКСе в 2005 году. К 2011 году летали два Ми-38, один с двигателями Климова и один с двигателями Pratt & Whitney. Как и большинство современных вертолетов, Ми-38 имеет "стеклянную" цифровую кабину.
ОКБ Миля стало жертвой собственного успеха, так как самыми опасными конкурентами Ми-38 являются последние варианты Ми-8 и модернизированные машины. В 2011 году последний вариант Ми-8, Ми-171, можно было приобрести за 12 млн долларов.

22 ноября на ОАО "Казанский вертолетный завод" совершил первый полет по кругу второй прототип вертолета Ми-38. Он оснащен турбовальными двигателями PW 127/TS производства Pratt & Whitney Canada и современным комплексом авионики ИБКВ-38 со "стеклянной кабиной". Ми-38 ОП-2 конструктивно доработан с учетом результатов испытаний первого прототипа Ми-38. Запуск серийного производства нового вертолета в Казани запланирован на 2013 г.
Если Ми-38 поступит в эксплуатацию в запланированные сроки, то это произойдет почти через 30 лет после начала его разработки. Вертолету не повезло, что его создание пришлось на период развала СССР.
Mil Mi-38-2 38013 (c/n OP-3) is the first example powered by United Engine Corporation TV7-117V engines, which are due to be installed in production examples. The helicopter is the third Mi-38 prototype and completed its initial hover on November 13, 2013, at the Mil Moscow Helicopter Plant at Tomilino in Russia. Tests to qualify the aircraft to Russian AP-29 standards began on November 29. The fourth and final prototype is under construction at the Kazan Helicopter Plant and will feature larger window openings and an Aerazur shock resistant fuel system. Certification is expected to be completed in 2015 and serial production will commence at Kazan in the same year.

The future of the Mi-38 programme depends on the will of the Russian military and law enforcement agencies to place orders.
Mi-38-1 prototype OP-2, 38012, during a test flight in 2013. This was the second development airframe and first flew on October 30,2010. It was retired in 2016 and placed in storage.
